Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by ExtraDay LLC ("Extra Day," "we," "us," or "our"), including the website at extraday.com, the Extra Day community, newsletter subscriptions, consulting services, digital resources, and any related offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Accounts & Membership

2.1 Registration

Some of our Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration.

2.2 Community Membership

Paid community memberships provide access to the Production Agent Library (including agent files, SKILL files, architecture documents, and configuration files), monthly live build sessions, the Weekly AI Briefing, the AIQ Assessment, contribution credits, and other member benefits as described on our pricing page. Membership benefits may evolve over time as we add new features, agents, and resources.

2.3 Founding Member Terms

Founding Members who subscribe at the introductory rate will retain their pricing for as long as their membership remains active and in good standing. If a Founding Member cancels and later re-subscribes, the founding rate is no longer guaranteed, and the then-current pricing will apply.

2.4 WhatsApp Inner Circle

Access to the private WhatsApp group with Dmitry Kozko ("Inner Circle") is available to the first 50 Founding Members automatically. After the initial founding period, Inner Circle access is merit-based and limited to the top 50 active contributors each month. ExtraDay LLC reserves sole discretion over contribution scoring and Inner Circle eligibility. Removal from the Inner Circle does not affect your other membership benefits.

3. Payments & Billing

• Membership fees are billed on a recurring monthly basis through our payment processor, Stripe, Inc. You authorize us to charge your payment method on file for each billing cycle via Stripe.
• All fees are in U.S. dollars and are non-refundable, except as expressly stated in these Terms or required by law.
• If your payment fails, we may suspend your access to paid Services until payment is successfully processed. Stripe may reattempt failed charges as part of their standard retry logic.
• We reserve the right to change pricing with 30 days' advance notice. Price changes will not affect active Founding Member subscriptions.
• You may update your payment method at any time through your account dashboard or by contacting us. Payment information is stored and processed exclusively by Stripe — we do not store your full credit card details on our servers.

4. Cancellation & Refunds

You may cancel your membership at any time. Upon cancellation, you will retain access to paid Services through the end of your current billing period. No partial refunds are issued for unused portions of a billing cycle. If you believe a charge was made in error, contact us at support@extraday.com within 30 days.

5. Consulting Services

AI consulting and advisory engagements are governed by separate statements of work ("SOWs") agreed upon between you and Extra Day. These Terms apply in addition to any SOW. In the event of a conflict between these Terms and a SOW, the SOW shall prevail for that engagement.

6. Intellectual Property

6.1 Our Content & Agent Library

All content provided through our Services — including but not limited to AI agents, SKILL files, architecture documents, system prompts, configuration files, articles, newsletters, videos, presentations, and digital resources — is owned by ExtraDay LLC and is protected by copyright and intellectual property laws. You may use this content, including agents and SKILL files, for your personal and internal business purposes but may not redistribute, resell, sublicense, or publish it outside your organization without our written consent.

6.2 Member-Contributed Content

By submitting agents, SKILL files, architecture documents, build logs, or other content to the Agent Library or community, you retain ownership of your original work but grant ExtraDay LLC a non-exclusive, worldwide, royalty-free, perpetual license to use, display, distribute, modify, and sublicense your contributed content within the Agent Library and community. You represent and warrant that you have the right to grant this license and that your contributions do not infringe any third-party rights, including intellectual property, trade secrets, or confidential business information of your employer or clients.

6.3 Contribution Credits

Members who contribute qualifying content may receive credits toward future membership fees ("Contribution Credits"). Credit amounts and eligibility criteria are determined at ExtraDay LLC's sole discretion and are subject to change. Credits are non-transferable, have no cash value, and expire if your membership is cancelled. Current credit tiers: full working agent = 1 month free; SKILL/workflow file = 50% off; detailed build log with results = 25% off.

6.4 Community Interactions

By posting content in our community (WhatsApp group, live session chats, or other community channels), you retain ownership of your content but grant ExtraDay LLC a non-exclusive, worldwide, royalty-free license to use, display, and share your content within the community and for promotional purposes (e.g., anonymized testimonials or case studies), unless you request otherwise.

7. Acceptable Use

You agree not to:

• Share your membership access or credentials with others.
• Redistribute, resell, or publicly share paid content, including agents, SKILL files, prompts, architecture docs, and session recordings.
• Submit contributed agents that contain malicious code, backdoors, or intentionally harmful functionality.
• Submit agents or content that includes proprietary or confidential information belonging to your employer or clients without authorization.
• Use the community or Services to harass, spam, or engage in harmful behavior toward other members.
• Attempt to reverse-engineer, scrape, or interfere with the technical infrastructure of our Services.
• Use the Services for any illegal purpose or in violation of any applicable law.
• Misrepresent your identity or affiliation when using our Services.

Violation of these terms may result in immediate termination of your account and membership without refund.

8. Newsletter & Communications

By subscribing to our newsletter (the Weekly AI Briefing), you consent to receive periodic email communications from us. You may unsubscribe at any time using the link provided in every email. We may also send transactional emails related to your account, membership, or purchases, which are not subject to unsubscribe requests.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our Services will be uninterrupted, error-free, or secure. The information and content provided through our Services is for informational and educational purposes only and does not constitute professional advice. Any AI strategies, prompts, or implementations discussed through our Services should be independently evaluated for suitability to your business.

10. Limitation of Liability

To the maximum extent permitted by law, ExtraDay LLC and its founder, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ExtraDay LLC and its founder, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Broward County, Florida.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the revised Terms on this page with an updated "Last updated" date. Your continued use of the Services after such changes constitute your acceptance of the updated Terms.
